Suzanne S. Whisler
Suzanne Whisler's background in investment banking, economics, and mergers and acquisitions makes her ideally suited to provide business solutions and advice to our litigation clients.
Suzanne obtained a B.A. in Economics at the University of Chicago, including through a year at the London School of Economics as part of a joint academic program. From there, Suzanne spent four years as an investment banker with Cochran, Caronia & Co., an investment banking boutique, in Chicago, Illinois and San Francisco, California. During that time, she obtained her Chartered Financial Analyst designation, and directed multiple sell-side engagements through preparing offering and/or private placement memoranda, contracting and negotiating with potential buyers, coordinating and managing due diligence, and advising company management. In her investment banker capacity, Suzanne performed over 30 valuations of companies using various financial modeling techniques including discounted cash flow analysis, comparable company analysis, and comparable acquisition analysis, and she also managed teams of analysts on a variety of investment and analysis projects. Suzanne routinely participated in company due diligence meetings, quarterly conference calls, and annual analyst meetings.
Suzanne then attended The Ohio State University Moritz College of Law in her native Central Ohio, where she was a Dean's Merit Scholarship recipient, Articles Editor for The Ohio State Law Journal, and recipient of various awards for academic excellence, including in Mergers and Acquisitions coursework. Upon graduating cum laude from law school, Suzanne spent seven years practicing corporate law, where her responsibilities included handling mergers and acquisitions for both buyers and sellers, drafting and negotiating merger, stock purchase, and asset purchase agreements; drafting disclosure schedules; bills of sale; employment, consulting, and independent contractor agreements; promissory notes; security agreements; severance agreements; license agreements; vendor agreements; corporate bylaws and resolutions; and the creation, conversion, and dissolving of various corporate business entities. In addition to her corporate law work, Suzanne also obtained bankruptcy and financial restructuring experience in Chapter 7 and Chapter 11 cases.
Suzanne has returned to Carpenter Lipps & Leland LLP, where she gained valuable business litigation experience as a prior summer associate several years ago, to deploy her corporate law and investment banking skills for the benefit of the Firm's litigation clients. Suzanne and her husband are the parents of two young daughters.
